This Master Services Agreement governs use of AxleAudits unless a separately signed agreement says otherwise.
Parties
This agreement is between:
AxleAudits ("AxleAudits," "we," "us," or "our")
and
The company or person creating or using an AxleAudits account ("Customer," "you," or "your").
If you create an account for a company, you represent that you have authority to bind that company.
What AxleAudits Provides
AxleAudits is a trucking paperwork and audit-readiness platform. Depending on the selected plan, AxleAudits may provide:
- Document uploads and document vault workflows.
- OCR and document field extraction.
- Review cards and extracted fields.
- Fuel, IFTA, expense, load profit, driver, vehicle, safety, authority, and filing trackers.
- Reminders, action items, and review queues.
- Reports and export packets.
- Accountant handoff packets.
- Roadside and audit packet preparation tools.
- Beta-code tracking and launch discount tracking.
- Office Help and done-for-you setup services when requested and accepted by AxleAudits.
AxleAudits is a workflow and record-organization tool designed for national motor carrier use. It can help customers organize records related to federal trucking and tax categories, including FMCSA driver qualification, HOS/supporting documents, accident register, inspection/repair/maintenance, drug and alcohol/Clearinghouse, and IRS Form 2290 support. It does not replace a licensed attorney, CPA, tax preparer, safety consultant, compliance consultant, insurance advisor, medical review officer, consortium/third-party administrator, or government filing authority.
Plans
Customer access is controlled by the selected plan, role permissions, and any add-ons.
Current plan options:
- IFTA Readiness.
- Full App Access.
- Full Access + Office Help.
Plan details are described in the attached plan addenda. If plan descriptions conflict, the signed order form or written plan confirmation controls.
Beta Program
During private beta:
- Access may require a unique beta code.
- Beta participation may be limited to a maximum number of companies.
- Beta customers may receive a launch discount when AxleAudits officially launches.
- Beta features may change, be incomplete, contain errors, or be unavailable at times.
- No payment may be required during beta unless separately agreed.
- AxleAudits may pause, remove, or convert a beta account according to beta program rules.
Beta discounts are tracked by beta code and company account. Customers should not share beta codes with other companies.
Customer Responsibilities
Customer is responsible for:
- Uploading accurate and authorized documents.
- Reviewing extracted fields before relying on them.
- Confirming all filings, reports, packets, and compliance records before use.
- Maintaining legally required records.
- Managing company users and roles.
- Protecting account passwords and beta codes.
- Removing users who no longer need access.
- Ensuring drivers, employees, contractors, accountants, and office staff are authorized to access or upload information.
- Complying with FMCSA, DOT, IFTA, IRS, state, employment, privacy, tax, safety, and recordkeeping laws that apply to Customer.
No Legal, Tax, Filing, or Compliance Guarantee
AxleAudits helps organize records and show missing items. AxleAudits does not guarantee:
- That a customer will pass an audit.
- That records are legally sufficient.
- That filings are complete or accepted.
- That OCR or extracted fields are accurate.
- That reminders will catch every deadline.
- That reports or packets include every document required by law or by a specific auditor, agency, accountant, insurer, shipper, broker, or customer.
Customer remains responsible for final review and decisions.
Customer understands that federal and state motor carrier obligations can vary based on operations, vehicles, drivers, exemptions, cargo, authority, state registrations, tax status, and other facts. AxleAudits may include default checklist items and due-date workflows based on common federal requirements, but Customer must confirm which rules apply to its own operation.
Federal Recordkeeping Baseline
AxleAudits workflows may reference federal recordkeeping categories, including:
- Driver qualification files under 49 CFR Part 391, including the file contents and retention concepts in 49 CFR 391.51.
- Accident register and crash-file support under 49 CFR 390.15.
- Hours-of-service records and supporting documents under 49 CFR Part 395, including 49 CFR 395.8 and 395.11.
- Inspection, repair, and maintenance files under 49 CFR Part 396.
- Controlled substances and alcohol testing/Clearinghouse workflows under 49 CFR Part 382.
- Heavy Highway Vehicle Use Tax support for IRS Form 2290 and Schedule 1.
- Email and SMS communications subject to federal rules such as CAN-SPAM and TCPA/FCC requirements where applicable.
These workflows are tools for organizing records. They are not legal determinations that a file is complete or compliant.
Accounts and Roles
AxleAudits supports role-based access including Owner, Office, Driver, Accountant, and Support.
General rules:
- Owners can manage the company workspace and team.
- Office users may add team accounts but may not remove accounts unless the app permits it.
- Drivers generally see their own upload workflow, assigned actions, and driver-related records.
- Accountants generally see financial, fuel, IFTA, expense, load profit, and handoff records.
- AxleAudits Support may access workspaces when needed for support, troubleshooting, security, Office Help, onboarding, or maintenance.
Customer is responsible for assigning roles correctly.
Team Seats and Extra Accounts
Unless a written order form states otherwise:
- Each company includes 5 team accounts for Driver, Accountant, and Office roles.
- Additional Driver, Accountant, or Office accounts may require a paid add-on after launch.
- Extra accounts may be locked until the applicable add-on is activated.
- Owner and Support accounts may be treated differently from billable team seats.
Payments
Payment terms will apply when billing is activated.
Available plan categories include IFTA Readiness, Full App Access, and Full Access + Office Help. Pricing will be provided before billing begins.
AxleAudits may update pricing, features, included seats, add-ons, and payment terms with notice. Customers will not be charged unless they accept payment terms through an order form, checkout, invoice, or written confirmation.
Office Help Services
Office Help may include done-for-you onboarding, setup, document organization, reminder review, paperwork cleanup, packet preparation, and customer support workflows.
Office Help is not automatic. It must be requested and accepted by AxleAudits. Scope, timing, deliverables, and fees may depend on the customer's records, fleet size, urgency, document quality, and support needs.
Unless a separate signed agreement says otherwise, Office Help is administrative document organization and workflow support. AxleAudits does not act as the motor carrier, employer, C/TPA, MRO, process agent, tax preparer, legal representative, insurance agent, or government filing representative.
Customer Data and Documents
Customer owns Customer's uploaded documents and business records. Customer grants AxleAudits permission to host, process, analyze, display, export, and use Customer data as needed to provide, secure, support, and improve the service.
AxleAudits may create extracted fields, classifications, reports, summaries, logs, reminders, and packet manifests from Customer data. Those outputs are intended for Customer's internal review and workflow use.
Privacy and Security
AxleAudits' Privacy Policy explains how information is collected, used, shared, protected, and retained.
Customer agrees that:
- Uploaded documents may contain personal, business, driver, vehicle, financial, or compliance information.
- AxleAudits may use cloud hosting, storage, OCR, email, SMS, security, and support providers.
- Role and plan controls are designed to limit access, but Customer must manage its own team carefully.
- No internet-based system can be guaranteed completely secure.
Customer authorizes AxleAudits to use service providers needed to provide the service, including hosting, storage, document OCR, email, SMS, security, and support providers. Customer is responsible for obtaining required permissions from drivers, employees, contractors, accountants, and other individuals before uploading or routing their information.
Acceptable Use
Customer may not:
- Upload documents Customer is not authorized to use.
- Use AxleAudits for unlawful, fraudulent, abusive, or deceptive purposes.
- Attempt to bypass role, plan, seat, beta-code, or security restrictions.
- Share accounts or passwords.
- Reverse engineer, scrape, clone, or copy the app except as allowed by law.
- Upload malware or harmful content.
- Interfere with service operations.
- Use the public demo to copy AxleAudits workflows for a competing product.
- Use AxleAudits to create, submit, or preserve false records of duty status, altered inspection records, false tax support, false accident records, or other misleading compliance records.
- Upload drug/alcohol, medical, driver, or employment records unless Customer has authority to collect, store, and use those records.
Service Availability
AxleAudits aims to provide reliable access but does not guarantee uninterrupted or error-free service. The service may be unavailable for maintenance, updates, cloud provider issues, security events, beta changes, or circumstances outside AxleAudits' control.
Support
Support may be provided through email, support inbox, setup calls, Office Help workflows, or other channels offered by AxleAudits.
Support response times are not guaranteed unless a signed order form or service level agreement states otherwise.
Email and SMS support/reminder messages may be subject to federal communication rules. Customer agrees to provide accurate contact information and to obtain any required consent before adding a phone number or email address for another person.
Confidentiality
Each party may receive non-public business, technical, operational, pricing, customer, driver, financial, or compliance information from the other party. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to AxleAudits services.
Confidentiality obligations do not apply to information that is public, already known without confidentiality restrictions, independently developed, received lawfully from a third party, or required to be disclosed by law.
Intellectual Property
AxleAudits owns the app, website, workflows, software, designs, templates, documentation, branding, reports, packet structures, OCR/extraction logic, and related intellectual property, except for Customer data and third-party materials.
Customer may use AxleAudits outputs for Customer's internal business purposes while authorized to use the service.
Feedback
Customer may provide suggestions, feedback, ideas, or beta comments. AxleAudits may use feedback without restriction or compensation, but will not intentionally disclose Customer confidential information in doing so.
Termination
Customer may stop using the service at any time. AxleAudits may suspend or terminate access if Customer violates this agreement, creates security risk, fails to pay when payment is required, misuses beta access, or uses the service in a way that may harm AxleAudits, customers, or third parties.
After termination, Customer should export needed records. AxleAudits may delete or retain data according to its Privacy Policy, legal obligations, backup practices, and operational needs.
Disclaimers
The service is provided "as is" and "as available" unless a written agreement states otherwise. To the fullest extent allowed by law, AxleAudits disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
Limitation of Liability
To the fullest extent allowed by law, AxleAudits will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, audit penalties, filing penalties, regulatory fines, or third-party claims arising from use of or inability to use the service.
To the fullest extent allowed by law, AxleAudits' total liability for all claims will not exceed the amount Customer paid to AxleAudits for the service during the 3 months before the event giving rise to the claim, or $100 if no amount was paid.
Indemnification
Customer agrees to defend and indemnify AxleAudits from claims arising from:
- Customer data or uploaded documents.
- Customer's misuse of the service.
- Customer's violation of law.
- Customer's violation of this agreement.
- Customer's failure to obtain permission from drivers, employees, contractors, accountants, or other third parties.
- Customer's use of AxleAudits outputs for government filings, audits, inspections, roadside events, tax records, employment decisions, drug/alcohol program decisions, or safety decisions without appropriate review by qualified personnel.
Governing Law and Disputes
This agreement is governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles, except where federal law applies or applicable law requires otherwise.
Unless applicable law requires otherwise, the parties agree that any court proceeding arising from this agreement will be brought in a state or federal court located in Wisconsin that has proper jurisdiction, and each party consents to personal jurisdiction and venue in those courts.
Changes
AxleAudits may update this agreement by posting an updated version or giving notice. If a change materially affects paid services, AxleAudits will provide reasonable notice where required. Continued use after the effective date means Customer accepts the updated agreement.
Order of Documents
If there is a conflict, the following order controls unless stated otherwise:
- Signed order form or written service confirmation.
- Plan-specific addendum.
- Master Services Agreement.
- Privacy Policy.
- Website or marketing copy.
